1. User Acknowledgment and Acceptance

Third Party Virtual Assistance, LLC ("3PVA," "we," "us," or "our") provides www.3rdpartyva.com and all related services (collectively, the "Site" and "Services") subject to your compliance with these Terms of Service ("Terms"). By accessing the Site or purchasing any Service Plan, you agree to be bound by these Terms in their entirety.

IF YOU DO NOT AGREE TO THESE TERMS, PLEASE EXIT THE SITE AND DO NOT PURCHASE A SERVICE PLAN.

We reserve the right to update these Terms at any time. Continued use of our Services following any modification constitutes your acceptance of the revised Terms. Material changes will be effective the earlier of: (i) your continued use with actual knowledge of the modification, or (ii) 30 days from publication of the updated Terms on this Site.

2. Overview of Services

3PVA provides virtual assistant services through a team of Senior Virtual Assistants (SVAs), Virtual Assistants (VAs), and Specialized Virtual Assistants. All services are delivered remotely via web and mobile platforms.

Service Plans define the scope, hours, authorized users, and specific duties agreed upon between 3PVA and the Client. All plans are subject to a monthly hour limit. Unused hours do not carry over to the next billing cycle.

Tasks and service hours are non-transferable. Any arrangement between a client and a VA to conduct services or accept payment outside of the 3PVA platform constitutes a material breach of these Terms and may result in immediate termination without refund.

3. Requests & Tasks

Task requests must be submitted via phone, email, or SMS. Each communication should contain one clearly defined task. Clients are welcome to submit multiple tasks simultaneously, but each task should be submitted in a separate message to ensure the fastest possible turnaround.

4. Ownership and Confidentiality of Work Product

Any original materials created by a 3PVA VA on your behalf are licensed to you on a non-exclusive, royalty-free, perpetual, irrevocable, non-transferable basis for personal and commercial use. You retain sole ownership of your confidential information and intellectual property.

Confidential information means non-public information you provide to 3PVA that you reasonably expect to be kept private, but excludes information that:

3PVA integrates artificial intelligence tools into its service delivery to improve accuracy, efficiency, and response times. By accepting these Terms, you acknowledge and consent to the following:

6. Guarantee & Warranty

3PVA does not provide a warranty on the accuracy or outcome of any task. We commit to delivering our best effort. In the event of an error, 3PVA will make reasonable efforts to correct the issue promptly. Your remedy for dissatisfaction is to request a revision through your assigned VA or by contacting chiefseniorva@3rdpartyva.com.

7. Cancellations

Monthly Service Plans may be canceled at any time by contacting your VA or our Support Team at chiefseniorva@3rdpartyva.com. Cancellations take effect at the end of the current billing cycle. 3PVA does not prorate cancellations or issue refunds for unused time within a current billing period.

3PVA reserves the right to terminate service to any client at any time. Grounds for termination include:

9. Non-Solicitation Provision

During your active membership and for a period of twelve (12) months following termination — for any reason — you shall not directly or indirectly solicit, recruit, or engage any 3PVA VA who was assigned to you at any point during the six (6) months preceding termination, without 3PVA's prior written consent.

Should a solicitation result in a 3PVA VA leaving to work with you directly, you agree to pay 3PVA liquidated damages equal to one (1) year of your most recent monthly subscription rate.
